Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Whisper Solutions LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Whisper Solutions provides digital media management services, including but not limited to:

• Audience engagement and communication management
• Revenue analytics and optimization
• AI-powered automation services
• Growth strategy consulting
• Account management and administrative support

Specific services, deliverables, and compensation will be outlined in a separate Service Agreement executed between you and the Company.

3. Client Obligations

As a client of Whisper Solutions, you agree to:

• Provide accurate and complete information as required for service delivery
• Maintain the security of your account credentials
• Comply with all applicable laws and platform terms of service
• Respond to communications in a timely manner
• Pay all fees as outlined in your Service Agreement
• Not engage in any fraudulent, illegal, or harmful activities

4. Account Access and Security

To provide our services, you may grant us access to your digital media platform accounts. By doing so, you:

• Authorize us to act on your behalf within the scope of agreed services
• Acknowledge that you retain full ownership and control of your accounts
• Understand that you may revoke access at any time
• Agree to use secure methods for sharing credentials as directed by us

5. Fees and Payment

Payment terms, including management fees, revenue share percentages, and billing schedules, will be specified in your individual Service Agreement. General payment terms include:

• Fees are due as specified in your Service Agreement
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• The existence and terms of our business relationship
• All financial information, metrics, and performance data
• Proprietary strategies, methods, and systems
• Any personal or business information shared during the relationship

Additional confidentiality terms may be outlined in a separate Non-Disclosure Agreement (NDA).

7. Intellectual Property

You retain all rights to your content, brand, and creative work. We retain ownership of our proprietary systems, analytics tools, AI models, and methodologies. Any custom solutions developed specifically for you will be addressed in your Service Agreement.

8. Limitation of Liability

To the maximum extent permitted by law, Whisper Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from or related to your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate the service relationship as specified in the Service Agreement. Upon termination:

• All account access will be revoked
• Outstanding fees become immediately due
• Confidentiality obligations survive termination
• We will provide reasonable transition assistance

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Sangamon County, Illinois.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.
